Pursuant to Part C of Chapter 9, Paragraph 9.04 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, we wish to announce that Circa 1 Pty Limited (“Circa”), a wholly-owned subsidiary of Mulpha Australia Limited, which in turn is a wholly-owned subsidiary of MIB, has accepted a loan facility of AUD67.2 million (equivalent to approximately RM201.5 million) jointly with JMJ Properties Australia Pty Ltd as trustee for the JMJ Trust (“JMJ”), granted by National Australia Bank Limited, Australia.  Circa is the co-borrower of the loan facility, which was obtained jointly with JMJ.

The purpose of the loan facility is to fund the development works of “The Bond” project, a 7-storey strata office and healthcare building, located at 8 Elizabeth Macarthur Drive, Bella Vista, New South Wales, Australia (“Property”).  JMJ is the owner of the Property and has appointed Circa to provide project management and development management services in relation to the Property in accordance with a Development Management Agreement (“DMA”) entered into between JMJ and Circa.  One of the terms of the DMA stipulates that Circa, in return for providing project management and development management services, and subject to satisfaction of certain conditions under the DMA, will receive a development management fee that allows Circa to participate in the profit generated from the sale of the Property (once developed).

Circa is a company incorporated in Australia and its paid-up share capital is AUD2.00 comprising 2 ordinary shares of AUD1.00 each. The principal activity of Circa is to enter into and perform its obligations under the DMA.
