Pursuant to Chapter 10, Paragraph 10.06 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of MIB wishes to announce that View Link Global Limited (“View Link”), an indirect wholly-owned subsidiary of MIB,  has entered into a transaction to dispose of its entire 33% equity interest in New Pegasus Holdings Limited (“New Pegasus”) in the manner and terms as described below.

View Link together with the other shareholders of New Pegasus (collectively referred to as the “Selling Shareholders” as listed in Section 2.1(c) below) have on 24 October 2025, entered into a Sale and Purchase Agreement (“Agreement”) with MGS Acquisition Limited (“Purchaser”) for the joint disposal of 300 ordinary shares, collectively representing 100% equity interest in New Pegasus.

View Link holds 99 ordinary shares in New Pegasus (“Sale Shares”), representing a disposal of its 33% equity interest in New Pegasus (“Proposed Disposal”).

Pursuant to the terms of the Agreement, the net consideration for the disposal of 100% equity interest in New Pegasus amounts to a total of GBP102.3 million (equivalent to approximately RM575.9 million), after deducting all incidental costs relating to the Proposed Disposal (“Transaction Consideration”).

View Link is expected to receive net proceeds of GBP33.8 million (equivalent to approximately RM190.3 million) (“View Link Consideration”) based on its 33% equity interest in New Pegasus.

Upon completion of the Proposed Disposal, New Pegasus shall cease to be an associated company of View Link.
