We refer to our announcements dated 7 March 2024, 6 June 2024, 27 January 2025 and 27 February 2025 in relation to the approval of the proposed schemes of arrangement and compromise between the Scheme Companies and their respective Scheme Creditors (collectively, the “Scheme Creditors”) at the court convened meetings held between 21 February 2025 to 27 February 2025 (“Schemes”).

The Board of Directors of the Company wishes to announce that the High Court of Malaya at Kuala Lumpur has today granted an order approving each of the Schemes in accordance with Sections 366(3) and (4) of the Companies Act 2016 (the “Court Order”).

Pursuant to Section 366(5) of the Companies Act 2016, the Court Order will take effect, and the Schemes will become binding on the Scheme Companies and their Scheme Creditors, upon lodgement of an office copy of the Court Order with the Companies Commission Malaysia (“CCM”).

In tandem with the grant of the Court Order, the High Court also granted a consequential order that no action or proceedings may be commenced or continued against any of the Scheme Companies by any party within the jurisdiction of the High Court, whether the act takes place in Malaysia or elsewhere, from the date of such order until the Restructuring Effective Date (being the date on which the compromise and settlement of the outstanding liabilities of the Scheme Creditors under the terms of such Scheme becomes effective) or the Longstop Date (being the date falling twelve (12) months from the date of lodgement of the Court Order with the CCM), whichever is earlier.

The Scheme Companies have instructed their respective company secretaries to proceed with the lodgement of the Court Order with the CCM. The Company will make an announcement upon the lodgement of the Court Order with the CCM.
