We refer to the Company's announcements dated 24 August 2018, 18 September 2018, 24 September 2018, 25 September 2018, 26 September 2018, 16 October 2018, 5 November 2018, 6 November 2018, 29 November 2018, 6 December 2018 and 13 December 2018 in relation to the Corporate Exercises.
On behalf of the Board, Maybank IB wishes to announce the following:
- that the Company has today entered into a conditional underwriting agreement with Maybank IB, CIMB Investment Bank Berhad and RHB Investment Bank Berhad (collectively referred to as "Joint Underwriters") in relation to the Rights Issue of Shares with Warrants ("Underwriting Agreement");
- that the Company has obtained letters of undertaking from STSB, TSS, Jurudata Sdn Bhd ("Jurudata") and senior management of the Company, namely Ahmad Zakiruddin Mohamed, Chow Mei Mei, Datuk Kris Azman Abdullah, Reza Abdul Rahim, Raphael Michel Francois Yves Siri, Vivek Arora and Lew Sue Li (collectively, "Senior Management") in connection with the Rights Issue of Shares with Warrants; and
- revision in the use of proceeds from the Rights Issue.
Details of the Underwriting Agreement, letters of undertaking and revision in the use of proceeds for the Rights Issue are set out in the attached file.
