BURSA ANNOUNCEMENTS

INTRODUCTION

Pursuant to Rule 9.19(23) of Bursa Malaysia Securities Berhad Main Market Listing Requirements, the Board of Directors of TCB wishes to announce that on 27 June 2016, Taliworks Meruan (Sarawak) Sdn Bhd (Company No. 1192657-P) ("TMSSB"), a wholly-owned subsidiary of TCB was incorporated under the Companies Act, 1965 as a private company limited by shares.

INFORMATION OF TMSSB

The authorised capital of TMSSB is RM500,000.00 divided into 500,000 ordinary shares of RM1.00 each of which two (2) ordinary shares have been issued and are fully paid up. The Directors of TMSSB are Dato’ Lim Yew Boon and Mr. Chin Soong Jin. 

The intended principal activities of TMSSB are as follows:

(1)       Development, construction, management, operation and maintenance of water supply schemes, integrated sewerage treatment plant, solid waste disposal facilities;  

(2)       Development, construction, management, operation and maintenance of construction works of any highway, toll roads, streets, sewers, bridges, reservoirs, tunnels, electrical grids and telecommunications within and outside Malaysia; and

(3)       Investments.

FINANCIAL EFFECTS

The incorporation of TMSSB is not expected to have any material effects on the earnings or net assets of the Company for the financial year ending 31 December 2016.

DIRECTORS’ AND MAJOR SHAREHOLDERS’ AND/OR PERSONS CONNECTED WITH A DIRECTOR OR MAJOR SHARHOLDER’S INTERESTS

None of the Directors or major shareholders of TCB or person connected to them have any interest, direct or indirect, in the incorporation.
