PROPOSED ACQUISITION OF THE ENTIRE EQUITY INTEREST IN SUNEDISON SOLAR HOLDINGS 1 PTE LTD, SUNEDISON SOLAR HOLDINGS 2 PTE LTD, SUNEDISON SOLAR HOLDINGS 3 PTE LTD AND TERRAFORM GLOBAL OPERATING (MALAYSIA) SDN BHD BY TALIWORKS RENEWABLES SDN BHD, FROM EM HOLDINGS 1, LLC, EM HOLDINGS 2, LLC, EM HOLDINGS 3, LLC AND TERRAFORM GLOBAL PALMARES HOLDING B.V. RESPECTIVELY, ALL OF WHICH ARE INDIRECT WHOLLY OWNED SUBSIDIARIES OF TERRAFORM GLOBAL OPERATING LP (“PROPOSED ACQUISITION”)

(Capitalised terms used in this announcement shall have the same meanings as those used in the Company’s announcements dated 30 November 2020, 12 March 2021, 1 December 2021 and 16 December 2021 in relation to the Proposed Acquisition unless otherwise stated.)

We refer to the Company’s announcements dated 30 November 2020, 12 March 2021, 1 December 2021 and 16 December 2021 in relation to the Proposed Acquisition.

The Company wishes to announce that the Parties have, via a letter dated 15 March 2022, mutually agreed to (a) further extend the Long Stop Date of the SESH SPA to 15 June 2022 or such other date as the Parties may agree in writing, and (b) include such other condition to completion of the SESH SPA that will not (i) render any additional liability on TRSB or (ii) increase the Aggregate Transaction Sum.
