PROPOSED ACQUISITION OF THE ENTIRE EQUITY INTEREST IN SUNEDISON SOLAR HOLDINGS 1 PTE LTD, SUNEDISON SOLAR HOLDINGS 2 PTE LTD, SUNEDISON SOLAR HOLDINGS 3 PTE LTD AND TERRAFORM GLOBAL OPERATING (MALAYSIA) SDN BHD BY TALIWORKS RENEWABLES SDN BHD, FROM EM HOLDINGS 1, LLC, EM HOLDINGS 2, LLC, EM HOLDINGS 3, LLC AND TERRAFORM GLOBAL PALMARES HOLDING B.V. RESPECTIVELY, ALL OF WHICH ARE INDIRECT WHOLLY OWNED SUBSIDIARIES OF TERRAFORM GLOBAL OPERATING LP (“PROPOSED ACQUISITION”)

(Capitalised terms used in this announcement shall have the same meanings as those used in the Company’s announcements in relation to the Proposed Acquisition dated 30 November 2020, 12 March 2021, 1 December 2021, 16 December 2021, 16 March 2022 and 25 March 2022 unless otherwise stated.)

We refer to the Company’s announcements in relation to the Proposed Acquisition dated 30 November 2020, 12 March 2021, 1 December 2021 and 16 December 2021, 16 March 2021 and 25 March 2022.

The Company wishes to announce that the relevant insurance policies in respect of the F11 Solar Projects for the insured period commencing on 1 March 2022 have been renewed on terms satisfactory to TRSB.

Accordingly, all Conditions under the SESH SPA have been fulfilled on 15 April 2022 (other than the Condition set out in Section 3(d) of Appendix I of the announcement in relation to the Proposed Acquisition dated 30 November 2020, for which written confirmation in respect of the satisfaction of this Condition shall be given on the Completion Date).
