Unless otherwise stated, all definitions and terms used herein shall have the same meaning as defined in the Company’s announcement dated 19 January 2017 in relation to the Proposals (“Initial Announcement”). On behalf of the Board of Directors of UMW Holdings Berhad, Maybank Investment Bank Berhad wishes to announce that, in view of the enforcement of the Companies Act, 2016, the Company will not be undertaking the Proposed Bonus Issue and Proposed Redemption to facilitate the Proposed Distribution as envisaged earlier. Instead, the Company will now undertake the Proposed Distribution exercise via a reduction of its share capital. Consequently, the Company will not undertake the Proposed Amendments (“Revised Proposal”). Please refer to the attached announcement for details of the Revised Proposal. This announcement is dated 27 February 2017. |
