We refer to the Announcements in relation to the Proposed Listing and the announcement dated 10 July 2013 on the approval from the SC pursuant to Subsection 214(1) of the Capital Markets and Services Act 2007 for the Proposed Listing subject to, among others, UMW-OG appointing an additional independent director prior to registration of its prospectus with the SC.

On behalf of UMWH and UMW-OG, Maybank IB and CIMB are pleased to announce that the Board of Directors of UMW-OG had on 15 August 2013, appointed Puan Fina Norhizah binti Hj Baharu Zaman as an Independent Non-Executive Director of UMW-OG. 

Puan Fina Norhizah previously embarked on her legal career with the Malaysian Attorney General Chambers as a Senior Federal Counsel and subsequently as the Legal Advisor to the Ministry of Transport, as a lecturer with International Islamic University of Malaysia and in several capacities with PETRONAS. Prior to her retirement in 2007, she was the Head and Senior General Manager of Legal and Corporate Secretarial Affairs Division and the Company Secretary of MISC Berhad since 2004. Currently, Puan Fina Norhizah sits on the boards of Alam Maritim Resources Berhad and Kasi Gegar Entertainment Sdn Bhd.

Puan Fina Norhizah holds a Bachelor of Law Degree from the University of Malaya, Masters in Law (specialising in maritime and shipping) from the London School of Economics, University of London and a Diploma in Syariah Law & Practice from the International Islamic University of Malaysia. She was admitted as an Advocate and Solicitor of the High Court of Malaya in 1986.

There is no family relationship between Puan Fina Norhizah and any director and/or major shareholder of UMW-OG and she has no conflict of interest with UMW-OG.

Further to the announcement on 20 August 2013 in relation to UMW Synergistic Generation Sdn Bhd and its two subsidiaries (“USG Group”) being retained under the UMWH Group, we are pleased to set out the selected details of the revised selected audited combined financial information of the UMW-OG Group (after the exclusion of the USG Group) for the financial years ended 31 December 2010, 2011 and 2012, and the 6-month financial period ended (“FPE”) 30 June 2013 and unaudited combined financial information of the UMW-OG Group (after the exclusion of the USG Group) for the 6-month FPE 30 June 2012 in Appendix I for information purposes. As disclosed in the same announcement, the exclusion of the USG Group from the UMW-OG Group is not expected to have any material effect on the UMW-OG Group.
