Reference is made to Kerjaya Prospek Group Berhad's ("KPGB" or "Company") announcements dated 16 July 2026 and 14 August 2026 in relation to the followings, respectively:
1.1 Subscription by Acumen Marketing Sdn. Bhd. (Registration No. 198701002209 (160879-H)) ("Acumen"), a wholly-owned subsidiary of the Company, of 70,000,000 new ordinary shares in ES Sunlogy Berhad ("ES Sunlogy"), a public company listed on the ACE Market of Bursa Malaysia Securities Berhad ("Bursa Securities"), at an issue price of RM0.2680 per share, representing approximately 9.0909% of the enlarged issued share capital of ES Sunlogy pursuant to a private placement exercise undertaken by ES Sunlogy for a total subscription consideration of RM18,760,000.00 ("Acquisition 1").
1.2 Acquisition by Acumen of an additional 19.18% equity interest in ES Sunlogy representing 147,700,000 ordinary shares from eighteen (18) shareholders of ES Sunlogy ("Vendors") via Direct Business Transactions at an average purchase price of RM0.272 per ordinary share, for a total cash purchase consideration of RM40,184,346.00 (collectively referred to as the "Acquisition 2").
The Board of Directors of KPGB wishes to announce that Acumen had on 17 August 2026 entered into Direct Business Transactions with four (4) shareholders of ES Sunlogy ("Vendors") for the acquisition of an additional 21,000,000 ordinary shares in ES Sunlogy at an average purchase price of RM0.2554 per ordinary share, representing approximately 2.73% of the total issued share capital of ES Sunlogy, for a total cash purchase consideration of RM5,364,000.00 ("Purchase Consideration") (collectively referred to as the "Acquisition 3").
Based on the information available to the Company, the Company is not aware of the Vendors being Directors and major shareholders of KPGB.
The Acquisition 3 was undertaken following unmatched transactions with the said Vendors on 14 August 2026.
Following completion of the Acquisition 3, Acumen's equity interest in ES Sunlogy increased from 28.27% to 31.00%.
