The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Acquisitions and Tenancies.
With reference to the earlier announcement dated 28 May 2026 in relation to the Acquisitions and Tenancies, on behalf of the Board, UOBKH wishes to provide the following clarification on the rationale for the termination of SPA 3.
The decision to terminate SPA 3 was made by both parties, namely the Trustee and CLSB, after taking into consideration the time taken to fulfil the conditions precedent under SPA 3. The conditional period under SPA 3 was initially six (6) months and had subsequently been extended on four (4) occasions by mutual agreements between the parties, resulting in an aggregate conditional period of twenty-one (21) months. Notwithstanding such extensions, the following conditions precedent under SPA 3, which were to be satisfied and/ or procured by CLSB pursuant to the terms of SPA 3, remain outstanding:-
i. CLSB obtaining the consent of PKA and/ or PKFZ for the transfer of the remaining unexpired period of the Port Klang Lease (including Subject Property 3) to the Trustee;
ii. If required for the purpose of the registration of the memorandum of transfer of the Port Klang Lease in favour of the Trustee, CLSB obtaining the approval of the State Authority to transfer the remaining unexpired period of the Port Klang Lease to the Trustee;
iii. CLSB obtaining the consent of PKA and/ or PKFZ for the grant of tenancy over Subject Property 3 by the Trustee (being the landlord) to TLSB (being the tenant); and
iv. If the master land is charged, CLSB obtaining or procuring PKA and/ or PKFZ to obtain the consent from the chargee addressed to the relevant land registry for the transfer of the remaining unexpired period of the Port Klang Lease to the Trustee.
