Pursuant to Paragraph 10.06 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities"), the Board of Directors of SWS wishes to announce that U.D. Wood Products Sdn. Bhd. ("UD Wood") and Syarikat U.D. Trading Sdn. Bhd. ("UD Trading"), the wholly-owned subsidiaries of the Company ("the Vendor"), had on 22 July 2026 entered into the Sale and Purchase Agreements ("Agreements") with Seng Seang Trading Sdn. Bhd. [Registration No. 200601024124 (743878-U)], ("SSTSB" or "the Purchaser"), for the disposals of the following assets at a total consideration of RM15,500,000 in accordance with the terms and conditions as stipulated in the Agreements:-

1) A unit of double storey factory/warehouse erected thereon of a leasehold industrial land with 99 years lease expiring on 29 December 2094, held under PN 9607, Lot No. 8784, Mukim Jalan Bakri, District Of Muar, State Of Johor measuring area approximately 5,502 square metre ("Property 1");

2) All piece of leasehold industrial land with 99 years lease expiring on 29 December 2094, held under PN 9607, Lot No. 8784, Mukim Jalan Bakri, District Of Muar, State Of Johor, Measuring Area Approximately 5,502 Square Metre ("Property 2"); and

3) A unit of two storey office and a single storey factory/warehouse erected thereon a leasehold industrial land with 99 years lease expiring on 29 December 2094, held under PN 9614, Lot No. 8791, Mukim Jalan Bakri, District Of Muar, State Of Johor measuring area approximately 10,056 square metre ("Property 3").
