[Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in the announcements dated 3 November 2016 and 9 February 2023 in relation to the Manufacturing and Supply of Packaging Materials Agreement ("MSPMA") entered into between PT Bintang Pesona Jagat ("BPJ") and PT Bentoel Prima ("PTBP"), a member of the British American Tobacco Group of Companies ("BAT Group").]
The Board of Directors of TWPH wishes to announce the following contracts entered into on 1 October 2026:
(I) Second Amendment to Manufacturing and Supply of Packaging Materials Agreement ("Second Amendment to MSPMA")
BPJ, an indirect 51%-owned subsidiary of TWPH, entered into the Second Amendment to MSPMA with PTBP, a member of the BAT Group, to extend the term of the MSPMA for a further period of five (5) years commencing from 1 October 2026 and expiring on 31 October 2031 ("Second Extension"), in respect of the supply by BPJ of printed cartons for the BAT Group's requirements in Indonesia.
(II) Commodity Supply Agreement ("CSA")
Alliance Print Technologies Co., Ltd ("APTV"), a wholly-owned subsidiary of TWPH, entered into the CSA with PTBP, a member of the BAT Group, for a period of five (5) years commencing from 1 October 2026 and expiring on 31 October 2031, in respect of the supply of goods by APTV for the BAT Group's requirements in Indonesia.
(III) Amendment Agreement
Max Ease International Limited ("MEIL"), a 51%-owned subsidiary of TWPH, entered into an Amendment Agreement with British-American Tobacco (Singapore) Private Limited ("BAT Singapore"), a member of the BAT Group, for the period commencing from 1 January 2027 and expiring on 31 October 2031, in respect of the supply of goods by MEIL for the BAT Group.
(The Second Amendment to MSPMA, CSA and Amendment Agreement are collectively referred to as the "Commercial Agreements".)
Financial Effects
The Commercial Agreements are not expected to have any effect on the issued share capital, substantial shareholders' shareholdings or shareholding structure of the Company.
The said Commercial Agreements are also not expected to have any material effect on the gearing of the Company for the financial year ending 31 December 2026.
However, the Commercial Agreements are expected to contribute positively to the future earnings and net assets of the Company as and when the expected earnings contributions therefrom materialise.
Directors' and Major Shareholders' Interests
None of the Directors and/or major shareholders of TWPH and/or persons connected to such Directors and/or major shareholders has any interest, direct or indirect, in the Commercial Agreements.
