We refer to the announcements dated 15 July 2015 and 23 July 2015 in relation to the Proposals (“Announcements”).

Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Announcements.

On behalf of the Board of Directors of RCE, AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that AmInvestment Bank had received a letter dated 3 August 2015 from Bursa Malaysia Securities Berhad (“Bursa Securities”), approving the listing of and quotation for such number of new RCE Shares, representing up to fifteen percent (15%) of the issued and paid-up ordinary share capital of RCE (excluding treasury shares) to be issued pursuant to the exercise of options or shares granted under the Proposed ESS on the Main Market of Bursa Securities.

 The aforesaid approval is subject to, inter-alia, the following conditions:-

1. AmInvestment Bank is required to submit a confirmation to Bursa Securities of full compliance of the ESS pursuant to Paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation together with a certified true copy of the resolution passed by the shareholders in general meeting; and
2. RCE is required to furnish Bursa Securities on a quarterly basis a summary of the total number of ESS shares listed as at the end of each quarter together with a detailed computation of listing fees payable.
