The Board of Directors of Sentoria is pleased to announce that Sentoria, has on 30 December 2013 entered into a Share Purchase Agreement with Interaktif Jasa Sdn. Bhd. and Interaktif Cerah Sdn. Bhd. for the purchase of 75,000 ordinary shares of RM1-00 each in the share capital of Sentoria Alfa Sdn. Bhd. (“SASB”) representing 30% of the issued and paid-up share capital of SASB, for a total consideration of RM9,000,000-00.

Upon completion of the acquisition, SASB will become a wholly-owned subsidiary of Sentoria.

SASB was incorporated on 31 October 2003. The authorised share capital is RM500,000-00 comprising 500,000 ordinary shares of RM1-00 each and its issued and paid-up share capital is RM250,000-00 comprising 250,000 ordinary shares of RM1-00 each. The principal activities of SASB are property development and project management services.

The Proposed Acquisition is not expected to have any immediate material effect on the earnings per share and net assets per share of Sentoria and it has no effect on Sentoria's share capital and substantial shareholders' shareholding.

The Proposed Acquisition does not require approval from the shareholders of Sentoria.

None of the Directors and/or major shareholders of Sentoria and/or persons connected to them have any interest, direct and indirect in the above acquisition.
