SNTORIA - Notice of Book Closure

 

1) BONUS ISSUE OF UP TO 52,800,000 ORDINARY SHARES IN SENTORIA GROUP BERHAD ("SENTORIA") ("SENTORIA SHARE(S)" OR "SHARE(S)") ("BONUS SHARE(S)") TO BE CREDITED AS FULLY PAID-UP ON THE BASIS OF 1 BONUS SHARE FOR EVERY 10 SENTORIA SHARES HELD AS AT 5:00PM ON 12 DECEMBER 2017.

2) RENOUNCEABLE RIGHTS ISSUE OF UP TO 211,200,000 NEW WARRANTS IN SENTORIA GROUP BERHAD ("WARRANT(S) B") AT AN ISSUE PRICE OF RM0.25 PER WARRANT B ON THE BASIS OF 4 WARRANTS B FOR EVERY 10 SENTORIA SHARES HELD AS AT 5.00 P.M. ON 12 DECEMBER 2017 ("RIGHTS ISSUE").

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - All" as from:  8 Dec 2017
2)  The last date of lodgment : 12 Dec 2017
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct<1/3>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <16.66%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <1/3>, of the Transacted Price is applicable

Remarks 1: "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 12 December 2017 with bonus issue of SNTORIA shares, any shareholder who is entitled to receive SNTORIA bonus issue shares, may sell any or all of his SNTORIA shares arising from the bonus issue beginning the Ex-Date (8 December 2017).

For example, if Mr X purchases 100 SNTORIA shares on cum basis on  7 December 2017, Mr X should receive 100 shares on 12 December  2017. As a result of the bonus issue, a total of 110 SNTORIA shares will be credited into Mr X's CDS account on the night of 12 December 2017 being the Book Closing Date. Therefore, Mr X can sell the bonus issue shares of 110 on or after the Ex-Date ie from 8 December 2017 onwards."

Remarks 2:-   Par value is no longer relevant arising from the migration to the no par value regime under the Companies Act, 2016. The Bonus Issue will entail the issuance of up to 52,800,000 Bonus Shares to be credited as fully paid-up on the basis of 1 Bonus Share for every 10 existing Sentoria Shares held by the entitled shareholders. The Bonus Shares will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") on 13 December 2017, being the next market day after the entitlement date. Sentoria's share registrar is expected to issue and despatch the notices of allotment for the Bonus Shares to the entitled shareholders whose names appear in the Record of Depositors of Sentoria on the entitlement date within 4 market days after the date the Bonus Shares are listed and quoted on the Main Market of Bursa Securities

Remarks 3:-The Abridged Prospectus together with the Notice of Provisional Allotment and the Rights Subscription Form for the Rights Issue (collectively referred to as the "Documents"), will be despatched to the shareholders of Sentoria whose names appear in the Record of Depositors as at 5.00 p.m. on 12 December 2017 ("Entitled Shareholders") who have registered address in Malaysia or who have provided the Share Registrar with an address in Malaysia in writing on or before 5.00 p.m. on 12 December 2017. The Documents will not be despatched to Entitled Shareholders with registered addresses outside Malaysia. However, such foreign Entitled Shareholders and/or their renouncee(s)/transferee(s) (if applicable) may collect the Documents from the Share Registrar, Tricor Investor & Issuing House Services Sdn Bhd at Unit 32-01, Level 32, Tower A, Vertical Business Suite, Avenue 3, Bangsar South, No. 8, Jalan Kerinchi, 59200 Kuala Lumpur, in which event the Share Registrar shall be entitled to request for such evidence as it deems necessary to satisfy itself as to the identity and authority of the person collecting the aforesaid Documents.

The Documents are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia. No action has been or will be taken to ensure that the Rights Issue and the Documents comply with the laws of any country or jurisdiction other than the laws of Malaysia.
