PROPOSED PLACEMENT OF NEW ORDINARY SHARES OF RM0.50 EACH IN TCB (“TCB SHARES”), REPRESENTING UP TO 10% OF THE ISSUED AND PAID-UP SHARE CAPITAL OF THE COMPANY (“PROPOSED PLACEMENT”)

Reference is made to the Company’s announcements dated 19 January 2015 and 20 January 2015 in relation to the Proposed Placement.

On behalf of TCB, we wish to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, via its letter dated 18 March 2015, approved the listing of and quotation for up to 43,999,558 TCB Shares to be issued pursuant to the Proposed Placement.

The approval of Bursa Securities is subject to the following conditions:

  1. TCB and CIMB Investment Bank Berhad (“CIMB”) must fully comply with the relevant provisions under the Bursa Securities Main Market Listing Requirements pertaining to the implementation of the Proposed Placement; 

  2. TCB and CIMB to inform Bursa Securities upon the completion of the Proposed Placement; and 

  3. TCB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Placement is completed.
