BURSA ANNOUNCEMENTS

The Board of Directors of TCB wishes to announce that its 60% subsidiary, Taliworks Meruan (Sarawak) Sdn Bhd (“TMSSB”) incorporated in Malaysia has been placed under Members’ Voluntary Winding-up on 26 February 2018 pursuant to Section 439(1)(b) of the Companies Act 2016.

The principal activities of TMSSB are provision of construction, development, management, operation and maintenance of water supply schemes, solid waste disposal facilities and TMSSB was dormant since incorporation.

Ong Lai @ Ong Kong Lai (NRIC No. 430925-06-5253) and Wong Cham Mew (NRIC No. 480601-10-5875) of Unit C-20-5, Block C, 20th Floor, Megan Avenue II, No. 12 Jalan Yap Kwan Seng, 50450 Kuala Lumpur had been appointed as the liquidators of the aforesaid Company.

The Members’ Voluntary Winding-up of the aforesaid Company will not have any effect on the share capital and shareholdings of the substantial shareholders of TCB and will not have any material impact on the gearing, earnings and net assets of TCB Group for the financial year ending 31 December 2018.

None of the Directors, major shareholders of TCB or persons connected to them have any interest, direct or indirect, in the Members’ Voluntary Winding-up.
