We refer to your fax dated 27th February 2001. Kindly be informed that our Company do not trigger the criteria as set out in paragraph 6.1 of PN4/2001 in regard to the appointment of an independent accounting firm as a monitoring accountant.

As set out in paragraph 6.1, our latest group audited accounts as at 31 December 1999 was not qualified by the auditors in any one of the following respects:

i. The auditors were unable to determine that all relevant transactions have been recorded due to incomplete accounting records; or

ii. The auditors were unable to obtain sufficient information and explanations from the directors with regard to the latest group audited consolidated account; or

b) The latest audited accounts have not been issued and the issuance has been delayed for more than 6 months from the date the audited accounts are due to be issued. Our audited accounts as at 31 December 1999 have been issued on 29 March 2000 and has been issued within the stipulated time frame in accordance to KLSE requirements.

2001 in respect of
the aforesaid matter.
Kindly confirm whether the Company fulfils the criteria as set out in paragraph
6.1 of PN 4/2001 for
the appointment of an independent accounting firm as a monitoring accountant.
