Reference
is made to the announcements dated 9 July 2009 and 7 August 2009 in
relation to the proposed appointment of ARRM as the Manager for ARREIT,
and the Trust Deed dated 10 October 2006 (as varied by a Supplemental
Deed dated 4 January 2007) between AmanahRaya-JMF Asset Management Sdn
Bhd ("ARJMF") and CIMB Trustee Berhad ("Trustee") in relation to the
management of ARREIT ("Deed").
MIDF Amanah Investment Bank Berhad ("MIDF
Investment"), on behalf of the Board of Directors of ARRM, the new
manager of ARREIT, wishes to inform that the second supplemental deed
dated 27 August 2009 ("Second Supplemental Deed") has been registered
with the SC on 7th September 2009 vide SC's letter dated 7th September 2009 and duly received by MIDF Investment on 8th September 2009.
The Second Supplemental Deed includes the following provisions:

This
Second Supplemental Deed will take effect upon its registration with
the SC under Section 295(1) of the Capital Markets and Services Act
2007 and lodged with the SC within seven (7) days of its registration. |
Clause 3 |

Words and/or phrases in the Deed that make reference to ARJMF shall be deleted and substituted with ARRM. |

Clause 5 |

Subject
only to the variations, modification and additions herein contained,
all terms and conditions of the Deed shall remain in full force and
effect and the Deed as amended, varied, modified and amplified by this
Second Supplemental Deed shall be read as a single, integrated document
incorporating the amendments, variations, modifications and
amplifications effected hereby. Any references in the Deed after the
date of this Second Supplemental Deed to "this Deed" shall be construed
as including this Second Supplemental Deed. In the event of any
inconsistency between the Deed and this Second Supplemental Deed, the
terms of this Second Supplemental Deed shall prevail over the terms of
the Deed. |

The abovementioned provisions set out that
ARRM will assume all rights, title, benefits, interest and obligations
of ARJMF under the Deed upon the date of the registration of the Second
Supplemental Deed.
MIDF Investment is required to lodge the
Second Supplemental Deed with the SC within seven (7) days of the
registration date in accordance with Section 296 of the Capital Market
Services Act 2007.
