(Unless otherwise stated, all definitions and terms used in this announcement shall have the same meaning as defined in the announcements dated 26 February 2019 and 22 March 2019 respectively, in relation to the Proposed Change of Trustee.)

 

Reference is made to the announcements dated 26 February 2019 and 22 March 2019 respectively, in relation to the Proposed Change of Trustee.

 

The Manager has despatched the Notice to unit holders of ARREIT ("Unit Holders") in relation to the Proposed Change of Trustee. The Notice among other things informed the Unit Holders that they are entitled to convene such Unit Holders' Meeting under Section 305 of CMSA to consider the Proposed Change of Trustee.

 

On behalf of the Board, Kenanga IB, wishes to announce that the Manager has received 2 notifications, which is less than one tenth of all Unit Holders requesting the Manager to convene Unit Holders' Meeting to consider the Proposed Change of Trustee.

 

Pursuant thereto, there will be no Unit Holders' Meeting to be convened in relation to the Proposed Change of Trustee as there is no sufficient notification being given by the Unit Holders to the Manager.

 

Accordingly, the Manager, CITB and PTB will proceed to take such necessary steps to enter into the Supplementary Deed. Thereafter, the duly executed Supplementary Deed will be submitted to the SC for registration to effect the following:

 

(i) the retirement of CITB as trustee of ARREIT;

(ii) the appointment of PTB as trustee of ARREIT in place of CITB; and

(iii) the modification of the existing terms of the Trust Deed to reflect the Proposed Change of Trustee.
